INTRODUCTIONThe United Nations Convention on Contracts for the International Sale of Goods (CISG) 1 and the International Institute for the Unification of Private Law (UNIDROIT) Principles of International Commercial Contracts (UNIDROIT Contract Principles or UPICC) 2 stand as the cornerstones in the efforts by the international community to harmonize and modernize international contract law. The most common legal instruments governing international commercial contracts are the 1980 United Nations Convention on Contract for the International Sale of Goods (“the CISG”) and the 2016 UNIDROIT Principles on International Commercial Contracts (“the UNDIROIT Principles”). Our below analysis will focus on these instruments. The United Nations Convention on Contracts for the International Sale of Goods (CISG), sometimes known as the Vienna Convention, is a multilateral treaty that establishes a uniform framework for international commerce. Over time, the HCCH, UNCITRAL and UNIDROIT have produced a series of texts that are complementary: the United Nations Convention on Contracts for the International Sale of Goods (CISG), the UNIDROIT Principles of International Commercial Contracts (UPICC) and the HCCH Principles on Choice of Law in International Commercial Contracts (HCCH Principles).
